Wholesale/Retail Sales Agreement
The RETAIL DISTRIBUTOR agreement is limited
to and governed by the following:
TERMS
For the purposes of this agreement the following terms apply:
WHOLESALER: Health Helper Enterprises, Inc.
RETAILER: ______________________________________________
PRODUCT: All products supplied by Enriching Gifts International, Inc.
MSRP: Manufacturer Suggested Retail Price that appears on PRODUCT label or in PRODUCT literature.
MAPP (Minimum Allowed Pricing Policy):

RETAILER of PRODUCT, “CAN NOT” sell or discount PRODUCT more than 20% below the MSRP when selling to END CONSUMER.

This policy is created to maintain PRODUCT VALUE and INTEGRITY in the retail industry.

All advertised prices in any media “CAN NOT” be any less than the MSRP.
PARTIES: The WHOLESALER and RETAILER.
WHOLESALE PRICING
WHOLESALER agrees to sell case lot product to RETAILER at 50% of MSRP.
RETAIL PRICING
RETAILER agrees to purchase at stated price and agrees to STRICTLY “MAINTAIN AND ADHERE” to the MAPP for the Enriching Gifts Nutritional Products at all times. Failure to strictly adhere to the MAPP for the Enriching Gifts Nutrition products will be deemed grounds to terminate this agreement in its entirety IMMEDIATELY by WHOLESALER upon written notice to the RETAILER and without refund for PRODUCT purchased.
PRODUCT RE-ORDER
It is understood by PARTIES that when re-ordering to restock inventory of RETAILER, product quantities will be at a MINIMUM of 1 case lot of each item ordered at WHOLESALE cost.
AGREEMENT TERM
The length of this agreement shall be in effect INDEFINATELY (unless notified in writing by WHOLESALER) from the time of this agreement is received and accepted by WHOLESALER.
HEALTH CLAIMS
It is understood that NO HEALTH CLAIMS can be made about PRODUCT that do not appear on the OFFICIAL Enriching Gifts www.enrichinggifts.com website. All advertising, sales, and marketing material must be approved and authorized by WHOLESALER. Failure to comply with these policies and procedures could result in the termination of this agreement.
SUB-WHOLESALING
RETAILER has the right to re-sell PRODUCT to other resellers. However, RETAILER must ensure that ANY resale of PRODUCT by the reseller conforms to the MAPP. Failure to comply with this paragraph will be grounds for IMMEDIATE termination of this agreement.
PAYMENT TERMS
Payment by credit card is the preferred method. Company check is acceptable but any ordered product will not be shipped until the check is received and processed. This could result in significant delays in the shipping of ordered products.
